Terms and Conditions of Response IT Solutions

• Introduction

  • These Terms and Conditions govern the provision of all IT services, support, and infrastructure management services ("Services") provided by Response IT Solutions ("Provider") to its clients ("Client").

• Provision of Services

  • The Provider agrees to deliver the Services as described in the individual service agreements or work orders.

  • The services will be performed professionally and consistently with industry standards.

• Client Obligations

  • The Client shall provide all necessary cooperation, information, and access to enable the provision of the Services.

  • The Client shall comply with all terms and conditions of any software or equipment used in connection with the Services.

• Fees and Payment

• • The Client agrees to pay the agreed-upon fees for the Services.

  • Payment terms shall be specified in the service agreement or invoice.

• Intellectual Property Rights

• • All intellectual property rights in any work produced as part of the Services remain the Provider's property.

  • The Client receives a license to use such materials solely in connection with the Services.

• Confidentiality

• • Both parties agree to keep any confidential information received from the other party in strict confidence.

• Limitation of Liability

• • The Provider's liability for any losses or damages arising out of the Services shall be limited to the amount paid by the Client for the relevant Service.

• Indemnification

• • The Client agrees to indemnify the Provider against any claims or damages arising from the Client's use of the Services.

• Termination

• • Either party may terminate the agreement with written notice, subject to the terms specified in the service agreement.

• Force Majeure

• • Neither party will be liable for any failure or delay in performance due to circumstances beyond their reasonable control.

• Governing Law and Jurisdiction

• • These Terms and Conditions shall be governed by and construed by the laws of the jurisdiction where the Provider operates. (Pune)

  • Disputes arising in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

• Amendments

• • The Provider reserves the right to amend these Terms and Conditions at any time.

• Entire Agreement

• • These Terms and Conditions constitute the entire agreement between the parties regarding its subject matter.
